Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and MZ Software LLC (“we”, “us”, or “our”) that governs your use of the Yappee app for iPhone and Mac and the getyappee.com website (together, “Yappee” or the “Service”). Please read them carefully.
Acceptance of these terms
By downloading, accessing, or using Yappee, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use Yappee.
These Terms include important provisions that limit our liability, disclaim warranties, and set out how disputes are resolved. Please read them carefully.
Who may use Yappee
You must be at least 18 years old, or the age of majority where you live, to agree to these Terms. If you are younger but at least 13, you may only use Yappee with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf and is responsible for your use. Yappee is not intended for children under 13.
By using Yappee, you confirm that you are not located in a country subject to a U.S. Government embargo, and that you are not on any U.S. Government list of prohibited or restricted parties.
Your account
Some features require an account, which you can create with Sign in with Apple or with an email address. You are responsible for keeping your credentials secure and for all activity under your account. Please provide accurate information and let us know promptly if you suspect any unauthorized use. You can delete your account at any time in the app's settings.
Your license to use Yappee
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, and revocable license to install and use Yappee on Apple devices that you own or control, in line with the App Store Usage Rules, for your own personal or internal business purposes. We reserve all rights not expressly granted to you.
Yappee depends on an internet connection and on third-party services, and we may change, suspend, or discontinue any part of the Service at any time. We do not guarantee that the Service will always be available, uninterrupted, or error-free.
Plans, subscriptions, and billing
Yappee offers a free plan with limited usage and a paid “Pro” subscription with higher limits. The features, usage limits, and prices that currently apply are shown in the app and on the App Store.
- Free and paid plans: the free plan lets you try Yappee within set usage limits. The Pro subscription unlocks higher limits and is offered as an auto-renewing subscription.
- Billing through Apple: all purchases and subscriptions are sold and processed by Apple through your App Store account and are subject to Apple's Media Services Terms. We do not receive or store your payment details.
- Automatic renewal: subscriptions renew automatically for the same period at the then-current price unless you cancel at least 24 hours before the end of the current period. You can manage or cancel your subscription in your App Store account settings; deleting the app does not cancel a subscription.
- Free trials and introductory offers: if an offer is available, it converts into a paid subscription unless you cancel before it ends, and any unused portion is forfeited when you start a paid subscription.
- Price changes: prices may change over time. Changes apply only to future billing periods and, where required by law or by the App Store, only after notice and, where applicable, your consent.
- Refunds: payments are handled by Apple, and refunds are subject to Apple's policies. We do not separately provide refunds. This does not affect any mandatory statutory rights you may have.
- Usage limits: to keep the Service reliable and to prevent abuse, we may set and adjust reasonable usage limits, such as weekly word allowances and maximum recording lengths, including for paid plans.
Your content
“Your Content” means the audio you record and the transcripts, transformations, dictionary entries, and other content you create or submit through Yappee. As between you and us, you keep all rights to Your Content.
You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, transmit, process, and display Your Content solely to operate and provide the Service to you, including sending it to the providers described in our Privacy Policy to transcribe and transform it. This license exists only to run the Service and ends when Your Content is deleted, except where we must retain it to comply with the law. We do not use Your Content to train AI models, and we do not sell it.
You are solely responsible for Your Content. You confirm that you have all rights needed to record and submit it, that you are entitled to process any other person's voice or personal data it contains, and that it does not break the law or infringe anyone's rights.
AI-generated output
Yappee uses automated speech recognition and AI to produce transcripts, translations, and text transformations. This output is generated automatically, may be inaccurate, incomplete, or unsuitable for your purpose, and can vary between uses. It is provided for your convenience only and is not professional advice of any kind.
You are responsible for reviewing the output and for deciding whether and how to use it. Do not submit content that you do not have the right to process or that is unlawful.
Acceptable use
When using Yappee, you agree not to:
- use the Service in any way that breaks the law or infringes the rights of others;
- record, submit, or generate content that is unlawful, infringing, harmful, or that you have no right to process;
- use the Service in clinical practice, to provide medical advice, or in any way that is overseen by or requires clearance or approval from a medical device regulator;
- interfere with, overload, or disrupt the Service, or try to gain unauthorized access to it or to other users' accounts or data;
- reverse engineer, decompile, or attempt to extract the source code or underlying models of the Service, except to the limited extent this restriction is prohibited by law;
- rent, sell, sublicense, or otherwise commercially exploit the Service beyond the use these Terms allow, or access it using automated means such as bots or scrapers;
- circumvent usage limits, security measures, or any restrictions built into the Service.
Third-party services
Yappee relies on third-party services to work, including Apple, OpenAI, Google (Gemini and Firebase), ElevenLabs, RevenueCat, PostHog, and Sentry. Your use of those services may be subject to their own terms, and we are not responsible for third-party services or their content. The providers that process your data are described in our Privacy Policy.
Intellectual property
Yappee, including its software, design, text, graphics, and branding (but excluding Your Content), is owned by MZ Software LLC and its licensors and is protected by intellectual property laws. Except for the limited license to use the app granted above, these Terms give you no rights in Yappee. “Yappee” and our logos are our trademarks and may not be used without our prior written permission.
If you choose to send us feedback or suggestions, we may use them for any purpose without any obligation or compensation to you.
Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any output will be accurate or reliable. You use the Service at your own risk.
We provide support at our discretion, and you can reach us at the contact details below. Apple has no obligation to provide any maintenance or support for Yappee.
Limitation of liability
To the fullest extent permitted by law, MZ Software LLC and its representatives will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, revenue, or goodwill, arising out of or relating to your use of, or inability to use, the Service.
To the fullest extent permitted by law, our total aggregate liability for all claims relating to the Service is limited to the greater of the amount you paid for Yappee through Apple in the twelve months before the event giving rise to the claim, or USD 50.
Nothing in these Terms excludes or limits our liability where doing so would be unlawful. This includes liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for intentional or grossly negligent conduct, and for any liability or consumer rights that cannot be excluded or limited under the law that applies to you. Where we are liable for breaching an essential obligation needed to provide the Service, our liability is limited to the loss that was reasonably foreseeable when you accepted these Terms. The disclaimers and limitations above apply only so far as that law allows.
Indemnification
To the extent permitted by law, you agree to indemnify MZ Software LLC and its representatives against third-party claims, together with reasonable related costs, to the extent they arise from Your Content, from your breach of these Terms, or from your unlawful use of the Service. This does not apply to the extent a claim is caused by our own act or omission.
Suspension and termination
You may stop using Yappee at any time and delete your account in the app's settings. We may suspend or terminate your access to the Service at any time, with or without notice, including if you breach these Terms or if we reasonably believe your use poses a risk to the Service or to others. When your access ends, your license to use Yappee ends as well.
Provisions that by their nature should survive termination, including those on your content license to us, intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will continue to apply.
Changes to these terms
We may update these Terms as Yappee or the law evolves. When we do, we will post the updated version with a new date above and, for significant changes, point them out in the app or on the website. Changes take effect when posted, and your continued use of Yappee after that means you accept the updated Terms. If you do not agree, please stop using Yappee.
Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. If you live in the European Union, the United Kingdom, or another region with mandatory consumer-protection laws, you keep the protections of the mandatory laws of your country of residence.
If you have a concern, please contact us first at hi@martinzoeller.com so we can try to resolve it informally. Please give us at least 30 days to respond before starting any formal proceeding.
Subject to any mandatory consumer rules that let you bring proceedings in the courts of your home country, you and we agree to the exclusive jurisdiction of the courts located in Wyoming, USA, for any dispute relating to these Terms or the Service.
Apple App Store terms
Because Yappee is made available through the Apple App Store, the following terms also apply and, where they conflict with the rest of these Terms, govern your use of the app obtained from the App Store:
- These Terms are between you and MZ Software LLC only, not Apple. Apple is not responsible for Yappee or its content.
- Apple has no obligation to provide any maintenance or support services for Yappee.
- If Yappee fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any. To the maximum extent permitted by law, Apple has no other warranty obligation for Yappee, and any other claims relating to it are our responsibility.
- We, not Apple, are responsible for addressing any claims relating to Yappee, including product liability claims, claims that it fails to meet a legal requirement, consumer-protection claims, and any claim that it infringes a third party's intellectual property rights.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you as a user.
Other terms
These Terms, together with our Privacy Policy, are the entire agreement between you and us about the Service. If any part of these Terms is found unenforceable, the rest stays in effect. Our not enforcing a provision is not a waiver of it. You may not transfer your rights under these Terms, but we may transfer ours, for example as part of a sale or reorganization of our business. These Terms do not create any partnership, agency, or employment relationship between us.
